1. Acceptance of Terms

The Qlearscape platform ("the Service") is owned and operated by WinActa, LLC, a Washington limited liability company doing business as Qlearscape ("Qlearscape," "we," "us," or "our"). By accessing and using the Service, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this Service.

These Terms bind every individual who accesses the Service — the agency owner who subscribes AND each team member added to the agency's account. Each team member accepts these Terms upon their first access to the Service, and all certifications made in these Terms (including the license and permissible-purpose certifications in Sections 3 and 4) attach personally to the individual user and the login credential assigned to them. An agency owner who adds a team member is responsible for ensuring that team member reviews and accepts these Terms before using the Service.

2. Description of Service

Qlearscape is an Agency Operating System — a pre-quote data orchestration and lead intelligence platform designed exclusively for licensed insurance professionals. The Service provides access to aggregated data from multiple sources, including but not limited to driver's license records, vehicle registration information, property records, and other publicly available and licensed data sources.

Qlearscape is a pre-quote data orchestration and lead intelligence tool created exclusively to support licensed insurance professionals in the performance of their duties.

Qlearscape is NOT:

  • An underwriting platform or binding authority
  • A substitute for carrier underwriting verification
  • A regulatory or audit compliance tool
  • A replacement for direct customer verification
  • A general-purpose data lookup service
  • A tool for any purpose outside of legitimate insurance business activities

All data provided through Qlearscape is for informational purposes only. Users are solely responsible for independently verifying all information with the customer and the applicable insurance carrier prior to quoting, binding, or issuing any policy. Qlearscape does not guarantee that data is current, complete, or suitable for underwriting decisions.

3. License Verification and Regulatory Alignment

Access to Qlearscape is restricted exclusively to individuals who hold a valid, active insurance license issued by their state's Department of Insurance, Office of the Insurance Commissioner, or equivalent regulatory authority.

By using Qlearscape, you certify that you hold a valid state-issued insurance license and that your use of this Service is consistent with the permissible activities authorized under that license.

Active License Verification: Qlearscape verifies the status of your state insurance license through authorized third-party producer databases at the time of registration and when you are added as a team member by your agency administrator. This verification confirms that the license information you provide corresponds to an active, valid insurance license on file with your state's regulatory authority.

By providing your license information, you expressly consent to this verification. If verification confirms an active license, your access will be granted and a verification record will be retained by Qlearscape for compliance purposes. If verification cannot confirm an active, valid license, access to the Service will be denied until a valid license can be verified.

Qlearscape maintains a record of all license verifications, including the date of verification, the license data confirmed, and the agency under which verification occurred. If you have been previously verified through another Qlearscape-affiliated agency, Qlearscape may rely on that prior verification record and update it with your new agency affiliation and the date of your new association, rather than conducting a new verification lookup.

As a condition of access, you agree to:

  • Provide your valid state insurance license number upon registration
  • Consent to Qlearscape verifying your license status through authorized third-party producer databases
  • Maintain an active, valid license for the duration of your use of the Service
  • Use the Service only in accordance with the rules, regulations, and ethical obligations imposed by your licensing authority
  • Immediately notify Qlearscape if your license is suspended, revoked, or otherwise becomes inactive

Qlearscape operates in full compliance with applicable federal and state laws. The regulatory framework governing your license was established by your state's insurance regulatory authority. Those rules existed before Qlearscape, and Qlearscape honors and supports those established guardrails. Your use of this Service does not create any new permissions beyond what your license already authorizes.

Any use of Qlearscape that is inconsistent with the terms and conditions of your state-issued insurance license is unauthorized and is solely your responsibility.

4. DPPA Compliance and Permissible Purpose

Certain data accessible through Qlearscape is protected under the Driver's Privacy Protection Act (DPPA), 18 U.S.C. § 2721 et seq., and equivalent state privacy laws. Access to such data is restricted to users with a permissible purpose as defined under applicable law.

By using Qlearscape, you acknowledge and certify that:

  • You have a permissible purpose under the DPPA to access motor vehicle and driver information
  • Your permissible purpose is limited to use in connection with insurance underwriting, rating, claims investigation, or antifraud activities
  • You will not access, use, or disclose DPPA-protected information for any purpose not authorized by law
  • You understand that unauthorized access to or misuse of DPPA-protected information may result in civil and criminal penalties

Violation of the DPPA may result in civil penalties, criminal prosecution, and liability for actual damages, punitive damages, and attorneys' fees. Qlearscape will cooperate fully with any investigation into alleged DPPA violations.

5. Prohibited Uses

Qlearscape is a professional tool created for a specific purpose: to support licensed insurance professionals in serving their customers. You expressly agree NOT to use Qlearscape or any data accessed through the Service for any purpose other than legitimate insurance business activities.

Without limitation, you agree NOT to:

  • Access data for any personal, non-business purpose
  • Access data concerning any individual with whom you do not have a legitimate insurance business relationship
  • Use data to locate, identify, surveil, monitor, or track any individual for purposes unrelated to an insurance transaction
  • Compile, publish, disseminate, or disclose any individual's personal information for purposes unrelated to insurance services
  • Use data to harass, threaten, intimidate, stalk, or harm any individual
  • Share, redistribute, resell, sublicense, or transfer data to any unauthorized third party
  • Access data on behalf of any person or entity that is not a licensed insurance professional
  • Violate any federal, state, or local law, including privacy and data protection regulations
  • Discriminate against any individual on the basis of race, color, religion, sex, national origin, disability, age, or any other protected class
  • Scrape, mine, extract, or attempt to reverse-engineer the Service or its underlying data sources
  • Bypass, disable, or interfere with security features or access controls
  • Misrepresent your identity, license status, or permissible purpose
  • Share, transfer, or disclose your login credentials to any other individual, including other licensed agents, staff members, or family members. Each credential is assigned to a single authorized user and is tied to that individual's DPPA audit trail.
  • Attempt to access the Service from multiple devices or locations simultaneously using the same login credential. Qlearscape enforces single-session access per credential to maintain compliance with federal data privacy requirements.

Qlearscape is designed exclusively for insurance purposes. Any use of this Service outside the scope of legitimate insurance business activities is unauthorized. If you choose to misuse this tool, you bear full and sole responsibility for your actions and any resulting consequences.

Qlearscape enforces single-session access. Each login credential supports one active session at a time. If a second login is attempted while a session is already active, the new login will be blocked until the existing session is ended. All data queries are logged to the individual credential that initiated them. You are responsible for all activity associated with your login.

6. Data Accuracy and Disclaimer

While Qlearscape endeavors to provide accurate and up-to-date information, we do not warrant or guarantee the completeness, accuracy, or timeliness of any data provided through the Service. Data is aggregated from third-party sources, and Qlearscape is not responsible for errors, omissions, or delays in such data.

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. YOU ACKNOWLEDGE THAT IT IS YOUR RESPONSIBILITY TO VERIFY ALL DATA WITH THE CUSTOMER AND APPLICABLE CARRIER BEFORE MAKING ANY BINDING DECISIONS.

Qlearscape does not guarantee uninterrupted availability of the Service. The Service may be temporarily unavailable due to maintenance, updates, third-party infrastructure outages, or circumstances beyond our control. Qlearscape is not liable for any losses arising from Service unavailability.

7. Regulatory Cooperation

Qlearscape maintains comprehensive audit logs of all user activity on the platform. These records are maintained to ensure compliance, support regulatory oversight, and protect the integrity of the Service.

Qlearscape reserves the right to:

  • Audit user queries, data access patterns, and account activity
  • Suspend or terminate accounts that violate these Terms or applicable law
  • Report suspected violations to appropriate regulatory authorities, including state Departments of Insurance and law enforcement agencies
  • Cooperate fully with government investigations, regulatory inquiries, and legal proceedings
  • Provide audit logs, access records, and user information in response to lawful requests from regulatory or law enforcement authorities

Qlearscape supports the regulatory bodies charged with protecting the public. We will cooperate fully and transparently with any agency performing its lawful duty.

8. Limitation of Liability

To the maximum extent permitted by law, Qlearscape and its affiliates, officers, employees, agents, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use the Service.

Qlearscape shall not be liable for any claims, damages, or losses arising from:

  • Your reliance on data provided through the Service without independent verification
  • Binding or underwriting decisions made based on Qlearscape data
  • Errors, omissions, or inaccuracies in third-party data sources
  • Your failure to verify information with customers or carriers prior to binding
  • Your use of the Service for any purpose other than legitimate insurance business activities
  • Any action taken against you by regulatory authorities, law enforcement, or third parties as a result of your misuse of the Service

Liability cap. To the maximum extent permitted by law, Qlearscape's total aggregate liability arising out of or related to these Terms or the Service, from all claims combined and regardless of the theory of liability, shall not exceed the total subscription fees actually paid by your agency to Qlearscape in the twelve (12) months immediately preceding the event giving rise to the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Qlearscape and its affiliates, officers, employees, agents, and partners from any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Your violation of the terms of your insurance license
  • Your violation of any third-party rights
  • Any claim that your use of data obtained through the Service caused harm to any individual or entity

This indemnification specifically includes any claims arising from your use of Qlearscape data for purposes other than legitimate insurance business activities, or any use that violates the DPPA or other applicable privacy laws.

10. Billing and Payment Terms

Qlearscape operates on a subscription billing model. By providing a credit card or other accepted payment method and completing the subscription process, you authorize Qlearscape to charge your payment method on a recurring monthly basis for the applicable subscription fees.

Free trial and automatic conversion:

  • New subscriptions begin with a free trial period. The trial length is displayed during signup.
  • Your payment method will be charged automatically when the trial ends and your paid subscription will begin, unless you cancel before the trial period expires.
  • You may cancel at any time during the trial through your account settings. If you cancel during the trial, no charge is incurred.
  • The trial end date and first billing date are displayed during signup and in your account settings.

Subscription structure:

  • Base plan: The Qlearscape subscription includes a base fee that covers the agency account and up to a specified number of user seats. The current base fee and included seat count are displayed during the signup process and in your account settings.
  • Additional seats: If your team exceeds the number of seats included in the base plan, each additional active seat is billed at a per-seat monthly rate. The per-seat rate is displayed in your account settings.
  • Billing date: Your billing date is fixed at the date your subscription was created. It does not change when seats are added or removed. The billing date can only be changed by contacting Qlearscape support directly.

Payment policies:

  • No refunds. Qlearscape does not issue refunds for any reason, including partial months, unused time, or early cancellation. All charges are final.
  • No proration. Seat additions and removals are not prorated. If you add a seat mid-cycle, you will be charged the full monthly seat rate immediately. If you remove a seat mid-cycle, the seat remains active until the end of the current billing period.
  • Re-adding a removed seat. If a seat is removed and then re-added within the same billing cycle, a new charge will be incurred for that seat. This is intentional and is not a billing error.
  • Payment failure. If a payment fails, Qlearscape will notify you via email. Continued payment failure may result in suspension of access to the Service. Restoring access after suspension requires resolution of the outstanding balance.

By entering your credit card information during signup, you authorize Qlearscape to charge the card on file for all subscription fees, seat additions, and recurring charges as described in these Terms. Your credit card on file serves as your binding payment authorization.

11. Account Discontinuation

An agency owner (superadmin) may discontinue their Qlearscape account at any time through the account settings interface. Qlearscape uses the term "discontinued" to describe an account that has been voluntarily closed by its owner. This is distinct from a suspension or termination initiated by Qlearscape.

Discontinuation process:

  • The account discontinuation process requires multiple verification steps, including confirmation of the agency name, entry of a confirmation keyword, acknowledgment of the discontinuation date, and a final confirmation. These steps are intentionally deliberate to prevent accidental account closure.
  • Upon discontinuation, Qlearscape will cancel the subscription billing at the end of the current billing period. No further charges will be incurred after the billing period ends.
  • All team member accounts associated with the discontinued agency will be deactivated. Deactivated users will no longer be able to log in or access the Service.
  • A confirmation email will be sent to the account owner at the email address on file.

No grace period. If the superadmin demotes themselves without first promoting another user to superadmin, the agency has no superadmin on record. An agency without a superadmin cannot manage billing, add or remove team members, or perform administrative functions. Qlearscape is not responsible for restoring administrative access in this scenario. The departing superadmin should ensure a successor is in place before relinquishing their role.

Account discontinuation is a permanent action. Once an account is discontinued, the agency's access to the Service and to all agency data — including lead history, vendor analytics, agent performance records, and all associated data — ends permanently and cannot be reinstated. Following discontinuation, all data is handled in accordance with applicable law and the Privacy Policy.

Qlearscape-initiated termination: Qlearscape reserves the right to terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms, suspected misuse of data, suspected DPPA violations, or loss of your insurance license. Upon termination, your right to use the Service will immediately cease.

Following a Qlearscape-initiated termination, agency data is handled in the same manner as a discontinued account: the agency's access to the Service and its data ends permanently, and all data is thereafter handled in accordance with applicable law and the Privacy Policy. Audit logs, access records, and compliance data are retained as described in the Privacy Policy.

12. Agency Ownership Transfer

If an agency that holds an active Qlearscape subscription undergoes a change of ownership (sale, merger, or transfer), the following terms apply:

  • Membership is not automatically transferable. A Qlearscape subscription is tied to the agency's registered owner and their active state-issued insurance license. When ownership changes, Qlearscape cannot continue service under the departing owner's credentials.
  • Transfer preserves history. When an ownership transfer is executed through the Qlearscape platform, all agency data — lead history, vendor analytics, agent performance records, and all associated data — transfers intact to the new owner. The agency's operational history is preserved.
  • Superadmin transfer process: The departing owner (current superadmin) may use the ownership transfer function within the platform to demote themselves and promote the new owner to superadmin. This is an atomic operation — both role changes occur simultaneously. The new owner must (a) accept these Terms of Service, (b) provide a valid, active state-issued insurance license number, and (c) assume responsibility for the existing subscription and billing. Any prepaid credit remaining on the departing owner's billing cycle transfers to the new owner.
  • Discontinuation ends access to history. If the agency is discontinued rather than transferred, the agency's access to all of its data ends permanently and cannot be reinstated. An agency that is sold without executing a transfer through the platform will be treated as a discontinuation. The distinction is critical: transfer preserves the agency's access to its history; discontinuation ends it permanently.
  • New owner declines: If the new owner does not wish to continue, Qlearscape membership terminates on the date the agency is transferred to the new owner — not at the end of the departing owner's billing cycle. The departing owner receives no refund, as the agency is no longer tied to their active insurance license and Qlearscape cannot continue service for an agency without a licensed owner on record.
  • 7-day reconsideration window: Upon membership termination due to ownership transfer where the new owner declines, the new owner has seven (7) calendar days to reconsider and activate a Qlearscape membership by signing these Terms and submitting payment. If the window lapses without activation, the opportunity to reinstate the account ends and access to the agency's data ends permanently.
  • DPPA compliance: Under the Driver's Privacy Protection Act, Qlearscape is required to maintain a verifiable chain from the data source to a licensed insurance professional with a permissible purpose. If no licensed owner is on record for an agency, Qlearscape cannot continue service for that agency. This requirement is non-negotiable and is mandated by federal law.

Agency owners who plan to sell their agency should contact Qlearscape in advance to coordinate the ownership transfer process and ensure continuity of service for the incoming owner. Using the platform's transfer function preserves the agency's access to all of its history. Discontinuing the account ends that access permanently.

13. Data Export and Portability

Qlearscape provides authorized administrators with the ability to export agency data in a standard format (JSON) for record-keeping, regulatory compliance, or archival purposes.

  • Export availability: Data export is available to authorized administrators through the platform's administrative tools. Exported data includes agency records, team member information, lead session history, search history, and associated metadata.
  • Export format: Data is exported in JSON format. The exported file is provided as a download link with a limited expiration window.
  • No reimport. Exported data cannot be reimported into Qlearscape. The export function is a one-way operation intended for external record-keeping only.
  • No transfer between accounts. Exported data from one Qlearscape agency account cannot be transferred to, imported into, or merged with another Qlearscape agency account. Each agency account maintains its own independent data set.
  • Compliance logging: Every data export event is logged for compliance and audit purposes, including the identity of the user who initiated the export, the date and time, and the agency involved.

Exported data is provided for your records. It cannot be reimported, transferred, or used to reconstruct an account. If you are considering discontinuing your account, export your data first — once the account is discontinued, your access to the data and to the export function ends permanently.

14. Referral Program ("Refer a Friend")

Qlearscape offers a referral program that rewards existing agency subscribers for referring new agencies to the platform. Participation in the referral program is subject to the following terms.

14.1 Program Overview. An existing Qlearscape subscriber ("Referring Agency") may refer a prospective agency ("Referred Agency") to Qlearscape. Upon successful qualification (defined below), both the Referring Agency and the Referred Agency are eligible for a one-time billing credit of Fifty Dollars ($50.00) each, applied to their respective subscription invoices as described in this section.

14.2 Qualification — Referred Agency. A referral credit for the Referred Agency activates only when all of the following conditions are met:

  • The Referred Agency completes the standard Qlearscape signup process, including identity verification and acceptance of these Terms of Service.
  • The Referred Agency completes the trial period and enters a paid subscription.
  • The Referred Agency's first real payment (not a $0.00 trial invoice) is successfully processed by Stripe.

If the Referred Agency cancels during the trial, fails to provide a valid payment method, or otherwise does not complete a paid transaction, no referral credit is generated for either party.

14.3 Credit Application — Referred Agency. The Referred Agency's $50.00 credit is applied automatically to their first paid invoice. For example, if the Referred Agency's base subscription is $100.00 per month, the first invoice after trial will be $50.00. The credit is consumed in full on this single invoice. From the second paid month onward, the Referred Agency pays the full subscription rate.

14.4 Credit Application — Referring Agency. The Referring Agency's $50.00 credit does not activate at the time of referral submission. The Referring Agency's credit activates only after the Referred Agency's first real payment has been successfully processed. Once activated, the credit is applied to the Referring Agency's next scheduled billing cycle. For example, if the Referring Agency's next invoice is $100.00, the invoice will be $50.00 for that cycle only.

14.5 Non-Stacking — One Credit Per Billing Cycle. Referral credits do not stack. Only one referral credit ($50.00) may be applied to any single billing cycle. If a Referring Agency has earned multiple referral credits (for example, by successfully referring three agencies), the credits are placed in a queue and applied one per month, in the order they were earned.

  • Example: Agency A refers Agency B, Agency C, and Agency D. All three referred agencies convert to paid subscriptions within the same month. Agency A now has three $50.00 credits queued. Agency A's next three monthly invoices will each reflect a $50.00 discount. The fourth month returns to the full subscription rate.
  • Credits in the queue are applied automatically. No action is required by the Referring Agency.
  • Queued credits do not expire, provided the Referring Agency maintains an active paid subscription.

14.6 Minimum Charge — No Zero-Dollar Invoices. Regardless of the number of credits earned or queued, no invoice may be reduced below Fifty Dollars ($50.00). The maximum discount applied to any single billing cycle is $50.00. This minimum charge requirement exists because the subscriber's ongoing financial obligation to Qlearscape is what maintains the binding nature of this agreement. A $0.00 invoice would constitute a lapse in the contractual payment relationship and is therefore not permitted.

Referral credits are billing discounts, not cash payments, account balances, or transferable assets. They cannot be redeemed for cash, transferred to another agency, applied retroactively to past invoices, or used to offset any amount other than the Referring or Referred Agency's own Qlearscape subscription invoice.

14.7 Eligibility and Restrictions.

  • The Referring Agency must have an active, paid Qlearscape subscription at the time the Referred Agency's first payment is processed. If the Referring Agency's account is discontinued, expired, or otherwise inactive, the credit is forfeited.
  • Self-referral is prohibited. An agency may not refer itself, a subsidiary, a DBA of the same owner, or any entity with substantially overlapping ownership or control.
  • Duplicate referrals are prohibited. A Referring Agency may not submit multiple referrals for the same Referred Agency email address.
  • Qlearscape reserves the right to deny, revoke, or claw back referral credits if it determines, in its sole discretion, that the referral program is being abused, gamed, or used in a manner inconsistent with its intended purpose.
  • The referral program may not be used in conjunction with any other promotional offer, discount, or coupon unless explicitly authorized by Qlearscape in writing.

14.8 Referral Credit on Account Discontinuation. If a Referring Agency discontinues their account while referral credits remain in the queue, all unused credits are forfeited. Referral credits have no cash value and are not refundable, transferable, or payable upon account discontinuation. If a Referred Agency discontinues their account before their referral credit is applied, the Referring Agency's corresponding credit is still honored — the Referred Agency's first successful payment is the sole trigger.

14.9 Program Modification or Termination. Qlearscape reserves the right to modify, suspend, or terminate the referral program at any time, with or without notice. Credits earned and queued prior to program modification or termination will be honored. Changes to the referral program do not apply retroactively to credits already in the queue.

14.10 Compliance. Referral activity is logged in Qlearscape's compliance system. Each referral submission, credit activation, credit application, and credit consumption is recorded with timestamps, agency identifiers, and Stripe transaction references. This data is available to Qlearscape administrators for audit and regulatory purposes.

15. Electronic Communication

Qlearscape operates on a fully paperless basis. All communications between Qlearscape and its users — including but not limited to account notifications, billing statements, service updates, security alerts, legal notices, and support correspondence — are delivered exclusively via electronic means (email).

  • Qlearscape does not send physical mail, make phone calls, or communicate through any channel other than electronic communication to the email address on file.
  • The account owner is solely responsible for maintaining an active, accessible, and monitored email address on their Qlearscape account at all times.
  • If you lose access to your email account, it is your responsibility to resolve the issue with your email provider. Qlearscape is not responsible for communications that are undelivered or missed due to an inactive, inaccessible, or unmonitored email address.
  • Password resets, account recovery, and all security-related communications are sent to the email address on file. Qlearscape cannot verify identity or provide account access through alternative channels.

By using Qlearscape, you consent to receive all communications electronically and acknowledge that your email address on file is your sole point of contact with Qlearscape.

16. Customer Data and User-Submitted Content

Your customer data belongs to your agency. In the course of using the Service, your agency inputs information about its customers and prospects — names, contact information, dates of birth, premium amounts, coverage details, and related records ("Customer Data"). As between your agency and Qlearscape, your agency owns its Customer Data. You grant Qlearscape a license to host, process, store, transmit, and display Customer Data solely as necessary to provide, maintain, secure, and improve the Service and to comply with law.

Your agency is solely responsible for its Customer Data, including having a lawful basis to collect it, input it into the Service, and use it — under your state's insurance regulations, applicable privacy laws, and your obligations to your customers. Qlearscape processes Customer Data on your agency's behalf and does not independently verify that your agency has the right to input it.

Uploaded documents. The Service allows authorized users to upload documents — including vendor billing records and carrier rate or filing documents — for processing and analysis. By uploading any document, you represent and warrant that: (a) you have the legal right to possess and share the document; (b) the upload does not violate any law, contract, confidentiality obligation, or third-party right; and (c) the document does not contain malicious code. You retain ownership of your uploaded documents and grant Qlearscape a license to store, process, extract, and analyze them to provide the Service. You are solely responsible for the documents you upload, and your indemnification obligations under Section 9 extend to any claim arising from your uploads.

Qlearscape may decline to process, or may remove, any uploaded content that it reasonably believes violates these Terms or applicable law.

17. Aggregated and De-Identified Data

Qlearscape may create and use aggregated, de-identified, or anonymized data derived from use of the Service — including usage patterns, lead-outcome statistics, vendor performance metrics, conversion benchmarks, and market trends — provided that such data does not identify your agency, your users, or any individual consumer.

You agree that Qlearscape may use such aggregated and de-identified data for any lawful business purpose, including operating and improving the Service, developing new features, producing industry benchmarks and analytics, and creating and distributing (including commercially) industry intelligence products. Aggregated and de-identified data is not Customer Data and is not subject to the data-handling terms that apply to Customer Data. Qlearscape maintains and uses de-identified data without attempting to re-identify it, except as permitted by law to test whether its de-identification processes are effective.

18. Platform Intelligence Features

The Service includes automated intelligence features — including coaching guidance, insights, scoring, and analytical summaries — that are generated in whole or in part by automated and machine-learning systems. These outputs are informational tools intended to support, not replace, your professional judgment.

Intelligence outputs are not legal, financial, regulatory, or professional advice, and are not a substitute for your obligations as a licensed insurance professional. Qlearscape does not warrant the accuracy or completeness of any automated output, and you are solely responsible for decisions made in reliance on them.

19. Modifications to Terms

Qlearscape reserves the right to modify these Terms at any time. For material changes, we will notify users via email to the address on file before or at the time the change takes effect; non-material changes are effective upon posting. Your continued use of the Service after a change takes effect constitutes acceptance of the modified Terms. We encourage you to review these Terms periodically.

20. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, the state in which WinActa, LLC is organized, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved in the state or federal courts located in Washington, and you consent to the exclusive jurisdiction of such courts.

21. General Provisions

  • Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.
  • Survival. Provisions that by their nature should survive termination — including Sections 4 (DPPA), 5 (Prohibited Uses), 8 (Limitation of Liability), 9 (Indemnification), 16 (Customer Data and User-Submitted Content), 17 (Aggregated and De-Identified Data), and 20 (Governing Law) — survive any termination or discontinuation of your account.
  • Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Qlearscape regarding the Service and supersede all prior agreements and understandings on the subject.
  • Assignment. You may not assign or transfer these Terms or your subscription except through the Agency Ownership Transfer process in Section 12. Qlearscape may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • No waiver. Qlearscape's failure to enforce any provision of these Terms is not a waiver of its right to enforce that provision later.
  • Force majeure. Qlearscape is not liable for any delay or failure to perform resulting from causes beyond its reasonable control, including natural disasters, utility or infrastructure failures, acts of government, or third-party service outages.

Agencies using the Service input information about their own customers and prospects — names, contact information, dates of birth, premium and coverage details, and related records. Qlearscape processes and stores this information on the agency's behalf to provide the Service. The agency controls this data, is responsible for its accuracy and lawful collection, and manages it under the Customer Data terms in Section 16 of the Terms of Service. Individuals with questions about records an insurance agency maintains about them should contact that agency directly.

3. How We Use Your Information

We use collected information for the following purposes:

  • To provide, maintain, and improve the Qlearscape Service
  • To verify your insurance license and eligibility to use the Service
  • To authenticate users and prevent unauthorized access
  • To monitor compliance with our Terms of Service, applicable laws, and DPPA requirements
  • To generate and maintain audit logs for regulatory compliance and cooperation
  • To respond to user inquiries and provide customer support

We maintain de-identified data without attempting to re-identify it, except as permitted by law to test whether our de-identification processes are effective

  • Single-session access enforcement — each credential supports one active session at a time

  • Ongoing security review of platform changes

However, no method of transmission over the internet or electronic storage is 100% secure. While we strive to protect your information, we cannot guarantee absolute security.

We retain your account information and usage data for as long as your account is active or as needed to provide the Service.
